General Terms and Conditions (GTC) of E&D ECOM Ltd.
1. Scope
These General Terms and Conditions (GTC) apply to all contracts concluded between E&S ECOM Ltd., 71-75 Shelton Street, WC2H 9JQ London, England (hereinafter referred to as "Seller") and its customers (hereinafter referred to as "Customer") via the online shop.
2. Conclusion of Contract
(1) The presentation of products in the online shop does not constitute a legally binding offer but an invitation to place an order.
(2) By clicking the "Buy Now" button, the Customer submits a binding order for the goods in the shopping cart.
(3) The contract is concluded when the Seller accepts the order by sending an order confirmation via email.
3. Prices and Payment Terms
(1) All prices are stated in the respective currency and include statutory VAT, if applicable.
(2) Shipping costs are displayed separately and are borne by the Customer unless stated otherwise.
(3) Payment can be made via the payment methods offered in the online shop.
4. Shipping and Delivery Conditions
(1) Delivery times are specified on the product page and depend on the shipping destination.
(2) If a product is unavailable after an order is placed, the Customer will be informed immediately.
5. Right of Withdrawal
(1) Consumers have the right to withdraw from the contract within 14 days without giving any reason.
(2) To exercise the right of withdrawal, the Customer must inform the Seller in writing (e.g., via email) within the withdrawal period.
(3) The Customer must return the goods within 14 days of withdrawal. The Seller will refund payments within 14 days of receiving the returned goods.
6. Warranty and Liability
(1) The statutory warranty rights apply.
(2) The Seller is liable only for damages caused by intent or gross negligence.
7. Dispute Resolution
(1) The EU Commission provides a platform for online dispute resolution: https://ec.europa.eu/odr.
(2) The Seller is neither obliged nor willing to participate in a dispute resolution procedure before a consumer arbitration board.
8. Final Provisions
(1) The law of England & Wales applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) If any provision of these GTC is found to be invalid, the remaining provisions shall remain unaffected.
9) Redemption of Promotional Vouchers
9.1 Vouchers that are issued by the seller as part of promotional campaigns with a specific validity period and which cannot be purchased by the customer (hereinafter "promotional vouchers") can only be redeemed in the seller's online shop and only within the specified period.
9.2 Promotional vouchers can only be redeemed by consumers.
9.3 Individual products may be excluded from the voucher promotion if such a restriction is specified in the contents of the promotional voucher.
9.4 Promotional vouchers can only be redeemed before the completion of the order process. Subsequent settlement is not possible.
9.5 Multiple promotional vouchers can be redeemed in a single order.
9.6 The value of the goods must be at least equal to the value of the promotional voucher. Any remaining balance will not be refunded by the seller.
9.7 If the value of the promotional voucher is not sufficient to cover the order, one of the other payment methods offered by the seller can be used to pay the difference.
9.8 The balance of a promotional voucher will neither be paid out in cash nor accrue interest.
9.9 The promotional voucher will not be refunded if the customer returns the goods purchased, either in whole or in part, under the statutory right of withdrawal.
9.10 The promotional voucher is transferable. The seller can validly perform with the holder who redeems the promotional voucher in the seller's online shop, unless the seller has knowledge or grossly negligent ignorance of the holder's lack of entitlement, legal incapacity, or missing authorization to represent.
10) Redemption of Gift Vouchers
10.1 Vouchers that can be purchased in the seller's online shop (hereinafter "gift vouchers") can only be redeemed in the seller's online shop unless otherwise specified in the voucher.
10.2 Gift vouchers and remaining balances of gift vouchers are redeemable until the end of the third year following the year of the voucher purchase. Remaining balances will be credited to the customer until the expiration date.
10.3 Gift vouchers can only be redeemed before the completion of the order process. Subsequent settlement is not possible.
10.4 Multiple gift vouchers can be redeemed in a single order.
10.5 Gift vouchers can only be used to purchase goods and not for the purchase of additional gift vouchers.
10.6 If the value of the gift voucher is not sufficient to cover the order, one of the other payment methods offered by the seller can be used to pay the difference.
10.7 The balance of a gift voucher will neither be paid out in cash nor accrue interest.
10.8 The gift voucher is transferable. The seller can validly perform with the holder who redeems the gift voucher in the seller's online shop, unless the seller has knowledge or grossly negligent ignorance of the holder's lack of entitlement, legal incapacity, or missing authorization to represent.
11) Applicable Law
11.1 For all legal relationships of the parties, the law of the Federal Republic of Germany shall apply, excluding the laws on international sale of movable goods. This choice of law applies to consumers only insofar as it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country in which the consumer has their habitual residence.
11.2 Furthermore, this choice of law does not apply to consumers who, at the time of concluding the contract, do not belong to a member state of the European Union and whose sole residence and delivery address at the time of conclusion of the contract are outside the European Union.
12) Alternative Dispute Resolution
12.1 The EU Commission provides a platform for online dispute resolution, which can be found at the following link: https://ec.europa.eu/consumers/odr
This platform serves as a point of contact for the out-of-court resolution of disputes arising from online purchase or service contracts involving a consumer.
12.2 The seller is neither obligated nor willing to participate in a dispute resolution procedure before a consumer arbitration board.
